The Board of Directors of the Company at its meeting held today i.e. April 2, 2024, has inter-alia,considered and approved the following:1. Slump sale of the Over the Counter ( OTC ) Business of the Company to Wholly OwnedSubsidiary Company proposed to be incorporated with the name of Mankind ConsumerProducts Private Limited or any other name as approved by Ministry of Corporate Affairs. Thetransaction will be effective on or before October 1, 2024 or such other date as may be mutuallyagreed between the parties, subject to customary closing conditions. The Company willcontinue to have business operations with the proposed incorporated entity on arm s lengthbasis.2. Incorporation of a wholly owned subsidiary by the name Mankind Consumer Products PrivateLimited or any other name approved by Registrar of Companies, Ministry of Corporate Affairs.
